End User License Agreement

1. Introduction

This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User", "you", or "your") and ZenQuip Healthcare Private Limited ("ZenQuip", "Company", "we", "our", or "us") governing your download, installation, access to, and use of the ZenQuip mobile application, ZenDoc application, associated websites, APIs, software, and related services (collectively, the "App" or "Services").

By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, you must not install or use the App.

3. License Grant

Subject to this Agreement, ZenQuip grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

• download the App;
• install the App;
• use the App solely for your personal or authorized professional healthcare purposes.

This license does not transfer ownership of the App or any intellectual property rights.

4. Ownership

The App, including:

• software;
• source code;
• object code;
• AI models;
• user interface;
• graphics;
• logos;
• trademarks;
• content;
• databases;
• documentation;

are owned by ZenQuip or its licensors and are protected by applicable intellectual property laws.

5. Eligibility

You represent that you:

• are at least 18 years of age, or have permission from a parent or legal guardian where permitted by law;
• have legal capacity to enter into this Agreement;
• will use the App only in compliance with applicable laws.

Healthcare professionals using ZenDoc represent that they possess the necessary licenses and authorizations required to provide healthcare services.

6. Acceptable Use

You agree not to:

• reverse engineer the App;
• decompile the software;
• modify the application;
• remove copyright notices;
• scrape data;
• attempt unauthorized access;
• upload malware;
• distribute viruses;
• use bots to access the platform;
• interfere with security;
• impersonate another user;
• create fraudulent accounts;
• use the App for unlawful purposes.

7. User Accounts

You are responsible for:

• maintaining confidentiality of your password;
• safeguarding your device;
• all activities occurring under your account.

You agree to immediately notify ZenQuip of any unauthorized use.

8. Healthcare Disclaimer

ZenQuip provides technology intended to support healthcare professionals and patients.

The App does not replace professional medical advice, diagnosis, or treatment.

Always consult your psychiatrist, psychologist, physician, or licensed healthcare provider regarding any medical condition.

Never ignore professional medical advice because of information obtained through the App.

9. Emergency Services

ZenQuip is not:

• an emergency service;
• a suicide prevention hotline;
• a crisis intervention platform;
• an ambulance service.

If you believe that you or another person is experiencing a medical emergency, immediately contact your local emergency services or visit the nearest emergency department.

10. AI Features

ZenQuip may provide AI-powered functionality including but not limited to:

• conversational assistance;
• CBT exercises;
• DBT guidance;
• motivational interviewing support;
• report summaries;
• mood analysis;
• educational information;
• journaling insights.

AI responses:

• may be inaccurate;
• may be incomplete;
• should not be treated as medical advice;
• should always be reviewed by users and healthcare professionals where appropriate.

Clinical decisions should never rely solely on AI-generated content.

11. Health Information

The App allows users to voluntarily upload sensitive health information.

By using the App, you authorize ZenQuip to process such information in accordance with:

• the Privacy Policy;
• applicable healthcare regulations;
• the Digital Personal Data Protection Act, 2023.

12. Third-Party Services

The App may integrate with:

• payment gateways;
• SMS providers;
• cloud providers;
• analytics providers;
• notification services;
• video conferencing providers;
• healthcare providers.

ZenQuip is not responsible for the availability, security, or practices of third-party services.

13. Updates

ZenQuip may:

• release software updates;
• modify features;
• remove functionality;
• improve security;
• discontinue certain services.

Some updates may be mandatory for continued use.

14. Subscription Services

Certain features may require payment.

Subscriptions may automatically renew unless cancelled in accordance with your App Store or Google Play account settings.

Applicable taxes may be charged.

Refunds are governed by applicable law and the policies of the relevant app marketplace.

15. Device Requirements

The App requires compatible:

• hardware;
• operating system;
• internet connection.

ZenQuip does not guarantee compatibility with all devices.

16. Intellectual Property

All intellectual property rights remain the exclusive property of ZenQuip Healthcare Private Limited.

Nothing in this Agreement transfers ownership to you.

17. Privacy

Your use of the App is governed by the ZenQuip Privacy Policy.

The Privacy Policy forms part of this Agreement.

18. Security

While ZenQuip implements reasonable safeguards, no software or online platform is completely secure.

You are responsible for:

• securing your device;
• protecting passwords;
• installing operating system updates.

19. Suspension

ZenQuip may suspend or terminate access if you:

• violate this Agreement;
• misuse the platform;
• engage in fraud;
• threaten platform security;
• abuse healthcare providers or staff.

20. Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, ZenQuip disclaims all warranties, including implied warranties of:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted availability;
• error-free operation.

21. Limitation of Liability

To the fullest extent permitted by applicable law, ZenQuip shall not be liable for:

• indirect damages;
• incidental damages;
• consequential damages;
• loss of profits;
• loss of business;
• data loss;
• emotional distress arising solely from use of the App.

Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.

22. Indemnification

You agree to indemnify and hold harmless ZenQuip, its directors, officers, employees, contractors, and affiliates from any claims, losses, liabilities, damages, or expenses arising out of:

• your breach of this Agreement;
• misuse of the App;
• violation of applicable law;
• infringement of third-party rights.

23. Export Compliance

You agree not to use or export the App in violation of applicable export control laws or sanctions.

24. Apple App Store Terms

If you downloaded the App through the Apple App Store:

• Apple Inc. is not a party to this Agreement.
• Apple has no responsibility for maintenance or support of the App.
• Apple is not responsible for addressing claims relating to the App.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms against you.

Use of the App must comply with the Apple Media Services Terms and Conditions.

25. Google Play Terms

If downloaded through Google Play:

• Google LLC is not responsible for support or maintenance of the App.
• Google is not responsible for any claims relating to the App.
• Your use of the App must comply with Google Play policies.

26. Termination

This Agreement remains effective until terminated.

ZenQuip may terminate your license immediately if you breach this Agreement.

Upon termination:

• your license automatically ends;
• you must stop using the App;
• you must delete all copies of the App in your possession where applicable.

Termination does not affect obligations intended to survive termination.

27. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, unless otherwise required by applicable law.

28. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

29. Entire Agreement

This Agreement, together with the Privacy Policy and Terms of Use, constitutes the entire agreement between you and ZenQuip regarding your use of the App.
